Saudi LLC or foreign company branch

Compare a Saudi LLC with a foreign company branch. Check investor eligibility, ownership, activity approvals and the documents needed before applying.

Choose the legal form after checking the investor and activity

A Saudi limited liability company creates a company with assets and liabilities separate from its owner or partners. A foreign-company branch registers an existing company's Saudi operation. Start by deciding who will invest and what the business will do, then compare the forms available for that application. This guide is for international businesses considering Saudi market entry. It covers the ordinary LLC and foreign-branch decision; it does not assess eligibility for a particular regulated activity or special investment programme. Reviewed on 15 October 2026. General information only: confirm the chosen route with the relevant Saudi authority and a qualified adviser.

Separate nationality from residence and company ownership

Saudi citizens, GCC citizens, foreign individuals and foreign companies do not necessarily use the same application route. MISA's current FAQ describes investment registration for foreign legal entities and individuals holding Premium Residency. A person outside those categories should confirm the applicable route, including any relevant special programme, before assuming that choosing an LLC resolves eligibility. MISA treats a GCC investor as local unless a GCC company's ownership structure includes foreign investors. Its FAQ directs GCC citizens and companies wholly owned by them to the Ministry of Commerce route. Living in Bahrain or another GCC country is different from holding GCC citizenship; a residence permit alone does not establish that treatment. For a Bahrain company with non-GCC shareholders, map the ownership before applying. The company's GCC place of incorporation does not by itself settle its investor classification. A Saudi partner also does not remove the need to check the proposed foreign participation.

For planning, treat the branch as the foreign company's own Saudi operation. Do not assume it provides a liability barrier equivalent to a separately incorporated LLC. Have Saudi counsel review parent exposure, guarantees and the proposed contracts before selecting the structure. An LLC is worth assessing when you want a separate subsidiary, defined ownership interests or a structure for future co-investment. A branch is worth assessing when the existing foreign company intends to carry out the Saudi business itself. These are planning considerations, not eligibility findings.

Check the exact activity before assuming full foreign ownership

MISA distinguishes activities open to investment from restricted activities. Local-partner conditions, capital requirements and additional approvals are tied to the activity and registration category. A general statement that Saudi companies allow full foreign ownership is not enough to clear a specific application. Write down the intended services or goods in practical terms. Then confirm the relevant activity classification, ownership conditions and sector regulator. Check professional services separately: a professional-company application can carry licensing and participation rules beyond ordinary company formation. Do not assume an overseas licence covers Saudi operations.

Use a staged application plan

Current MISA materials use investment registration. Some government service pages still use investment licence or investment certificate. Confirm which current document the selected service requires; an older label should not be read as a separate universal requirement.

1. Confirm the proposed investor, ownership chain and activity. Record which requirements apply to the chosen legal form and any regulated sector.

2. Complete the applicable investment-registration step. For a foreign investor using that route, MISA registration comes before the commercial-registration and operating-licence stages.

3. Use the appropriate Ministry of Commerce service through the Saudi Business Center. LLC incorporation and foreign/GCC branch registration are different services; select the one matching the approved structure.

4. Complete the remaining approvals and operational registrations. Check the actual status of each required licence, government file and bank account before starting the relevant activity. Keep authority requests and responses with the application record.

Prepare the documents that match your route

Investor registration preparation

The current MISA guide specifies Saudi Embassy authentication for the listed foreign-company records. Check the accepted authentication route for each document and receiving authority before arranging it. Do not assume one authority's acceptance settles the whole process.

  • Foreign corporate investor: commercial-registration evidence and the previous fiscal year's financial statements, with authentication required by MISA's current checklist.
  • Identity evidence for relevant individual partners, and evidence supporting any applicable Premium Residency exception.
  • Documents and declarations required for the selected activity and registration category.

The current checklist also requires an additional parent-company registration copy when the parent’s nationality differs from the applicant company’s nationality. MISA Investor Guide, 13th edition 03–2026

Additional LLC preparation

  • Proposed owner or partner details, ownership proportions and agreed capital structure.
  • Company name, headquarters, purposes and management arrangements.
  • Incorporation documents and the signatures or authorisations required for the chosen ownership structure.

Additional foreign branch preparation

For the foreign-company branch route, the Ministry of Commerce lists the following preparation items:

  • The applicable MISA investment document.
  • An authenticated parent or partners' decision opening the branch and identifying its manager, activity and location.
  • Written approval of the manager's appointment.
  • Saudi Central Bank approval where the activity requires it; check any other relevant sector approvals separately. The Ministry of Commerce publishes a separate GCC-branch checklist. That list includes the parent company's incorporation documents, an authenticated power of attorney when an agent acts, and an undertaking to report ownership changes. Foreign ownership within the GCC company must be identified.

Plan for the obligations after registration

Assign responsibility for keeping company and investor information current. MISA's implementing regulations require an annual update of registered investor declarations and information. Commercial-registration confirmation is a separate process; the Saudi Business Center lists an annual confirmation service for foreign/GCC branches. Keep Saudi accounting and audit obligations in the operating plan. The Companies Law specifically requires foreign branches to prepare local financial statements and file them with the auditor's report. A branch should not assume the parent's overseas accounts replace that local obligation. Bank onboarding also requires its own evidence. Saudi Central Bank rules for foreign-company branches address parent documents, management identity, account-operation authority and ownership checks. Company registration alone is not evidence that a bank has approved an account.

Frequently asked questions

Can one foreign company own a Saudi LLC?

The Companies Law allows an LLC with one owner, including a legal person. The foreign company's eligibility and the chosen activity's ownership conditions must still be satisfied. Single-owner status is a company-law option, not automatic investment approval.

Can I open a foreign-company branch without a company abroad?

A foreign-company branch is a route for an existing foreign company. If there is no parent company, assess an eligible company-incorporation or other applicable investor route instead of preparing branch paperwork.

Do all Saudi company formations need a Saudi partner?

MISA says the answer depends on the selected activity. Confirm the activity's ownership and participation requirements before choosing partners or promising full foreign ownership.

Must every foreign document be translated into Arabic?

MISA's general FAQ says translation is not required for documents submitted to MISA, while other ministries may require it. Saudi company incorporation documents must be in Arabic under the Companies Law. Check document- by-document requirements rather than applying one rule across all authorities.

Does MISA registration mean the business can start operating?

The commercial registration and necessary operating approvals must also be completed. Check the requirements for the actual activity and premises before trading or performing regulated work.

Prepare your market entry brief

Before requesting professional support, prepare a short brief stating the intended Saudi activity, proposed owners, any existing foreign parent and the reason for considering an LLC or branch. Flag unresolved eligibility and approval questions. Ask advisers to confirm their scope before instructing work. Explore our Saudi company formation service and send an enquiry about your proposed investor and activity. Confirm the scope of any engagement in writing. If Bahrain is also under consideration, read the separate Bahrain company-formation guide; its rules should not be applied to a Saudi application.
